Annual Return Filing Form 11 : Preparation and filing of the LLP Annual Return in Form 11 within the prescribed deadline of 30th May each financial year. Form 11 captures details of designated partners, partners, contributions, and basic LLP information and its timely filing is mandatory regardless of the LLP’s operational status.
Statement of Accounts & Solvency Form 8 : Preparation and filing of the Statement of Account and Solvency in Form 8, which includes the LLP’s financial statements balance sheet and profit & loss account certified by the designated partners. Form 8 must be filed within 30 days of the end of six months from the close of the financial year.
LLP Agreement Drafting & Filing : Drafting of the initial LLP Agreement at incorporation, covering profit-sharing ratios, capital contributions, partner rights and obligations, decision-making processes, and dispute resolution mechanisms. Subsequent amendments to the LLP Agreement are prepared and filed in Form 3 as required.
Designated Partner & Partner Changes : Management of admissions, resignations, and cessations of designated partners and partners including preparation of supplementary LLP agreements, board-level documentation, and filing of Form 4 with the MCA within applicable timelines.
Capital Contribution Amendments : Preparation and filing of Form 3 for changes in the capital contribution structure of the LLP covering fresh contributions, reductions, and restructuring of partner capital accounts.
Conversion of Partnership to LLP : Advisory and procedural support for converting an existing partnership firm into an LLP including eligibility assessment, documentation, MCA filing, and post-conversion compliance transition.
Strike-Off & Winding Up Support : For LLPs that are no longer operational or required, we manage the voluntary strike-off application process under the LLP Strike Off Rules including preparation of necessary declarations, clearance of pending filings, and coordination with the Registrar for closure.
Compliance Health Review for Existing LLPs : For LLPs with historical compliance gaps missed filings, incomplete forms, or incorrect submissions we conduct a thorough compliance audit, identify all outstanding obligations, and prepare a structured remediation plan to restore the LLP to full compliance.
Maintenance of Statutory Registers & Records : Maintenance of prescribed statutory records for the LLP including the register of partners, minutes of meetings, and financial records in a format suitable for regulatory review, investor due diligence, or banking requirements.
LLP compliance is deceptively simple on the surface two key annual forms, an agreement, and some partner-level records.
